1. Services

Provider agrees to create and maintain the following for Client:

2. Pricing & Payment

One-Time Setup Fee: $ due before work begins.

Monthly Service Fee: $/month, billed automatically via credit card.

Monthly billing begins when the website/app is launched and delivered to Client. Payment is due on the same day each month. If payment fails, Provider will attempt to collect for 7 days before suspending services.

3. What's Included

The monthly fee includes:

• Website/app hosting
• SSL certificate (HTTPS security)
• Regular backups
• Security updates and maintenance
• Content updates (as specified in selected plan)
• Email support
• Bug fixes

4. What's Not Included

• Domain name registration (Client responsibility, typically $15-20/year)
• Third-party service fees (email marketing tools, premium plugins, etc.)
• Major new features or redesigns (quoted separately)
• Content creation (copywriting, photography, etc.)

5. Timeline

Provider will deliver the completed website/app within of receiving all required content and materials from Client. Delays caused by Client (slow feedback, missing content) may extend this timeline.

6. Client Responsibilities

Client agrees to:

• Provide all necessary content (text, images, logos) in a timely manner
• Respond to questions and review requests within 5 business days
• Provide feedback clearly and consolidate revisions when possible
• Keep payment method current

7. Revisions

During the build phase, Client may request up to 2 rounds of revisions at no additional cost. Additional revisions may incur extra charges.

8. Ownership & Intellectual Property

• Client owns: All content they provide (text, logos, images), their domain name, and any data collected through the website/app.
• Provider owns: The website/app code, design, templates, and all technical systems created. These remain Provider's property and may be reused for other clients.
• This is a service agreement, not a purchase. The setup fee covers the initial development work; the monthly fee covers ongoing hosting, maintenance, and use of the website/app.
• Upon termination, Provider will provide Client with their content (text, images, logos) and data. Website/app code and design files are not included and will not be transferred.

9. Cancellation

Either party may cancel this agreement with 30 days written notice.

• Client will be billed for the final 30-day period.
• Upon cancellation, Provider will provide Client with their content (text, images, logos) and data exports.
• Website/app hosting and access will end 30 days after cancellation notice. The website/app will be taken offline.
• If Client wishes to have their website rebuilt elsewhere, they are free to hire another developer to create a new site using their own content.

10. Limitation of Liability

Provider's total liability under this agreement shall not exceed the total amount paid by Client in the 3 months preceding any claim. Provider is not liable for any lost profits, data loss, or indirect damages.

11. Service Level

Provider aims for 99% uptime but does not guarantee uninterrupted service. Provider will address outages as quickly as reasonably possible. Scheduled maintenance will be communicated in advance when possible.

12. Confidentiality

Both parties agree to keep confidential any proprietary information shared during this engagement. This includes business plans, customer data, and technical details.

13. Governing Law

This agreement is governed by the laws of the State of Oklahoma. Any disputes will be resolved in Oklahoma courts.

14. Entire Agreement

This document constitutes the entire agreement between the parties. Any changes must be made in writing and agreed upon by both parties.
